• NACHA file upload and processing
• Direct deposit payroll services
• Bank account verification
• Returns and corrections management
• Two-party file approval workflows

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations
• Use the services only for lawful purposes
• Not attempt to circumvent security measures

4. NACHA Compliance

All ACH transactions processed through our system must comply with NACHA Operating Rules. You are responsible for ensuring that all files submitted for processing meet NACHA format requirements.

5. Fees and Payments

Fees for services are outlined in your service agreement. Additional fees may apply for:

• Returned items
• File deletions
• Same-day ACH processing
• Expedited services

6. Limitation of Liability

Herring Bank Payment Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, except as required by law.

7. Termination

Either party may terminate the service agreement with written notice. Upon termination, you remain responsible for all pending transactions and fees.

8. Modifications

We reserve the right to modify these Terms of Service at any time. Continued use of our services after modifications constitutes acceptance of the updated terms.
